What's happening to M&A?

Just got another note from Goldman Sachs celebrating a 35% increase in M&A. And certainly things are on the rise. But I've also heard from a lot of sources that deals are getting stuck, in part due to preference stacks, like ratchets, that have founders discouraged to strike a deal. Curious what everyone thinks.
